Explanation of Responses:

1. This Form 4 amendment is being filed to amend the disclosure in Table I, Column 5 of the Form 4 previously filed on June 7, 2016 by the reporting person in order to correct the number of shares beneficially owned following the reported transaction, which reflected the reporting person as beneficially owning 50,238 shares but should have reflected beneficial ownership of 51,858 shares. This amendment also accounts for the over-reporting of 3 shares on the amended Form 3/A previously filed on March 4, 2016 which reflected the reporting person as beneficially owning 48,550 shares but should have reflected beneficial ownership of 48,547 shares, due to rounding related to the conversion of the reporting person's shares from Rentrak into the Issuer's common stock pursuant to the acquisition of Rentrak by the Issuer.
